Dealership Payment Terms

These Payment Terms apply when your dealership takes customer payments online through Levels Dealer OS. They are in addition to the Levels Dealer OS Terms of Service. An owner of your dealership accepts them once, on the record, before online payments can be switched on.
1. You are the seller and the merchant of record
Every online payment a customer makes — a vehicle down payment, a deposit, a payment on an account — is a payment to your dealership. Your dealership is the seller of the vehicle, the merchant of record for the transaction, and the party the customer is paying.
Levels Tech LLC provides the software your staff use to request the payment and to see what happened to it. Levels does not sell the vehicle, does not extend credit, does not hold the money, does not guarantee the transaction, and does not decide whether a customer is entitled to a refund.
2. Your Stripe account, and your relationship with Stripe
Payments are processed by Stripe through a Stripe account that belongs to your dealership. You open it during setup, on Stripe's own pages, and Stripe collects your legal entity details, ownership, tax information and bank account directly. Levels never sees or stores that information, and never holds your Stripe login.
Accepting these Payment Terms confirms that:
- you have a direct contractual relationship with Stripe under Stripe's Connected Account Agreement, which you accept on Stripe's pages, not ours;
- Stripe charges its processing fees to your dealership, deducted from your own Stripe balance — Levels does not pay them and does not mark them up;
- Stripe, not Levels, is responsible for collecting an unrecoverable negative balance on your account, under your agreement with Stripe;
- you must keep your business and banking information with Stripe accurate and current, and update it when it changes;
- you must respond to Stripe's requests for information and to Stripe's risk and verification reviews, and understand that Stripe may restrict or pause your account if you do not;
- you authorize Stripe to debit your Stripe balance or your linked external account as permitted by your agreement with Stripe — including for refunds you issue, chargebacks, ACH returns, and Stripe's fees.
3. The money goes to you
Each customer payment is created as a charge inside your own Stripe account. The funds settle to your Stripe balance and are then paid out to your registered bank account on Stripe's payout schedule.
Levels does not receive, possess, hold, pool, escrow, transfer, or distribute your customers' payments at any point. There is no Levels account for the money to sit in.
Levels takes no fee out of a customer's payment. Levels charges your dealership for the Levels Dealer OS subscription separately, on its own invoice, and that billing is unrelated to and reconciled separately from your vehicle payments.
4. What you are responsible for
Because the sale is yours, so is everything about it. You are responsible for:
- delivering the vehicle, and for its title, registration, taxes, fees, and required disclosures;
- any financing, and any credit terms you offer;
- your own cancellation and refund policy, which is shown to the customer at checkout in your words, and for deciding whether a particular customer is owed a refund;
- issuing refunds, which are made against your own charge and funded from your own Stripe balance;
- responding to chargebacks and disputes, and supplying the evidence — Levels will surface the dispute, its deadline, and the payment record, but the response is yours;
- ACH returns, insufficient funds, reversed payments, and fraud losses on transactions you accepted;
- the accuracy of every payment request your staff create, including the customer, the vehicle, the VIN, and the amount.
5. What you must not say
You may not represent, to a customer or to anyone else, that Levels sells the vehicle, finances it, guarantees it, holds the funds, insures the transaction, or decides refunds. Levels is your software provider. If a customer asks who they paid, the answer is your dealership.
6. Releasing a vehicle against a payment
A payment being initiated is not a payment being received. Bank debits (ACH) in particular can be returned days after they appear to have succeeded, and a card payment can be disputed for months.
Levels shows you the real state of every payment — initiated, processing, succeeded, failed, returned, disputed, refunded — and will not describe an uncleared payment as cleared. The decision to hand over a vehicle is yours, and you take the risk of releasing one against a payment that has not finally settled.
7. Limits
Levels applies limits to how much a customer may pay online and on which rail, to reduce chargeback exposure for you. Card payments are capped by default, larger amounts move to bank debit, and the largest amounts require a bank transfer. You may set lower limits for your dealership. Raising a limit requires a documented Levels review. Limits are counted cumulatively so a single down payment cannot be split into several smaller charges.
8. If your account can no longer take payments
If Stripe restricts your account, withdraws a capability, or requires information you have not provided, Levels will stop offering online payment on your behalf and will tell you what Stripe is waiting for. Levels will not route your customers' payments through any other account in the meantime.
9. Indemnity
You will indemnify and hold Levels harmless from claims, losses, fines, and costs arising out of transactions your dealership accepts, vehicles your dealership sells, refunds or chargebacks on your charges, and representations your dealership makes about them — subject to the limits and procedures in the Levels Dealer OS Terms of Service and your Order. Nothing here makes you responsible for Levels' own software, security, or conduct.
10. Acceptance
Levels records, at the moment of acceptance: the version of this document, a hash of its exact text, the user who accepted it, their role, the time, their IP address, and the Stripe account it was accepted for. That record is kept and cannot be edited.
